Terms of Service - BScale AI

1. Acceptance of terms

Using BScale AI constitutes full acceptance of these terms.

If you do not agree, do not use the platform.

2. License

We grant you a limited, personal, non-exclusive, non-transferable license to use the platform for legitimate business purposes only.

Prohibited: reverse engineering, copying, accessing source code, redistributing content, denial-of-service activity.

3. User content and ownership

You retain ownership of content you upload (prompts, ads, creative assets).

You grant us a license to process, store and transmit your content to our sub-processors to deliver the services you requested.

You confirm you have the rights to all content you upload and that it does not infringe third-party rights.

4. AI-generated content

Content generated by AI models may be inaccurate, biased or misleading.

You are fully responsible for reviewing AI-generated content before publishing or relying on it.

You are responsible for complying with the terms of the AI providers (Anthropic, OpenAI, Google, etc.) as they apply to service outputs.

5. Connected accounts

When you connect external accounts (Meta, Google Ads, TikTok, LinkedIn, WooCommerce, Gmail, etc.) you confirm you have authority to do so.

You are responsible for complying with the terms of those platforms.

You are responsible for every action taken on those accounts through the platform - including campaign creation/editing/pausing, budget changes, and email sent on your behalf.

6. Billing and payments

Payments are processed through PayPal. We do not store payment card numbers.

Israel customers: subscriptions are quoted in ILS; balance top-up packs are charged in USD at checkout.

United States customers: subscriptions are quoted in USD; applicable state/local sales tax is added at checkout based on your billing state and ZIP code.

Balance top-up packs take effect upon successful payment.

Unused balance expires as set in the catalog unless otherwise stated.

Refunds: you may request a refund within 14 days of purchase if no balance was used. After the balance is consumed, no refund is offered.

We may update prices with 30 days' notice.

BScale AI reserves the right to change prices, features, balance pricing, and module/subscription terms at any time. Where legally required, material changes will be communicated with reasonable notice.

US residents: to the extent permitted by law, disputes related to recurring charges may be subject to individual arbitration (see Section 13). Negative option / ROSCA: you authorize recurring PayPal billing only after confirming the plan price shown at checkout.

7. Intellectual property

All rights in the platform (code, design, brand, default content) are reserved to BScale AI and Asher Bukshpan.

Trademarks are property of their owners.

8. Disclaimer

The platform is provided AS-IS, without warranty of any kind, express or implied.

We do not warrant that the platform will always be available, error-free or achieve specific outcomes.

AI recommendations are decision support only - you make the final decision.

We are not responsible for damages resulting indirectly from actions you take on third-party platforms through the service.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim shall not exceed the amount you paid us in the 12 months preceding the event.

We are not liable for indirect, incidental, special or consequential damages, including lost profits or data.

10. Indemnification

You will indemnify us for any claim arising from your use of the platform, breach of these terms, or violation of third-party rights.

11. Termination

You may terminate your account at any time via Settings > Security & privacy.

We may suspend or terminate an account that breaches these terms, with reasonable notice unless the breach requires immediate action.

12. Governing law and jurisdiction

These terms are governed by the laws of the State of Israel.

Exclusive jurisdiction is the courts of Tel Aviv-Yafo.

Residents of the EU, UK, Switzerland and Japan retain non-waivable local consumer rights.

13. US residents - class action waiver

To the extent permitted by applicable law, you waive the right to participate in any class action or class arbitration against us, and agree to resolve disputes through individual arbitration only.

14. Miscellaneous

These terms constitute the entire agreement between you and us regarding the platform.

If a provision is held invalid, the remaining provisions remain in full force.

Failure to enforce a right does not constitute a waiver of it.

15. Changes to these terms

BScale may update or change these terms at any time.

Registered users will be notified at least 30 days before material changes take effect.

Your continued use of the platform after a change takes effect constitutes acceptance of the updated terms. If you do not agree, discontinue use.

16a. Market-specific consumer terms

Australia: Australian Consumer Law (ACL) guarantees apply; nothing in these terms limits non-excludable rights.

United Kingdom: Consumer Rights Act 2015; digital content must be of satisfactory quality and fit for purpose.

Canada: CASL applies to commercial electronic messages; Quebec consumer protection may apply to Quebec residents.

European Union / EEA: 14-day withdrawal right for distance contracts where applicable; VAT shown at checkout per billing country.

Foreign seller disclosure: BScale AI is established in Israel; cross-border services may be subject to local import VAT/GST (AU, CA, GB, EU) as displayed at checkout.
